The mandate, in plain terms

The Mining and Minerals Act 2022 created the Uganda National Mining Company (UNMC) to hold the state's commercial interest in mineral projects and to handle mineral marketing on the government's behalf. In practice that means licensed operators now model a state participation line alongside royalties from the first economic study, rather than treating it as a late-stage surprise.

For medium-scale gold operators the effect is less dramatic than headlines suggest. The heaviest participation terms attach to large-scale mining leases and production sharing, while prospecting and exploration licences remain the fastest route to a defensible position on good ground.

Why formalised operators benefit

State participation rewards companies that can document what they hold. A concession with independently verified reserves, mechanised infrastructure and auditable chain of custody is straightforward to negotiate over. An informally worked pit with no survey data is not.

This is the quiet advantage held by Uganda's formalised medium-scale operators, including several DGSM-licensed projects in Busia District, whose licensing and reserve verification work we cover in a separate field report.

What we are watching

The open question is administrative capacity: how quickly the UNMC and the Directorate of Geological Survey and Mines can process renewals, transfers and expansions without becoming the binding constraint on investment. Licence turnaround time, not headline equity percentages, is the number that will decide Uganda's 2027 exploration budgets.
